About these terms

These Terms of Service (“Terms”) are an agreement between you and Rafael Joao(“TradePals”, “we”, “us”) governing your use of the TradePals app and website. By creating an account or using TradePals, you agree to these Terms. If you don’t agree, please don’t use TradePals.

What TradePals is

TradePals is a software tool that helps tradespeople produce quotes, invoices and certificates and pass leads. TradePals is a platform — when a tradesperson does work for a customer, the contract for that work is directly between the tradesperson and the customer. We are not a party to it, we do not carry out the work, and we are not responsible for the quality, safety or legality of work carried out.

Eligibility & your account

You must be at least 18 and able to enter into a binding contract. You are responsible for your account, for keeping your login secure, and for all activity under it. Please provide accurate information and keep it up to date. We may remove or suspend accounts that appear fraudulent or abusive.

Pricing

TradePals is free to use — there are no subscription plans, recurring charges or usage limits. You pay only when a customer pays an invoice through the app (see “Invoice payments & commission” below). Pricing may change, and we’ll give notice of any change before it applies to you.

Invoice payments & commission

TradePals lets a tradesperson collect payment for their invoices from their customers via Stripe. Payments and payouts are handled through Stripe (including Stripe Connect). We deduct a flat platform commission of 3.9% of each successfully paid invoice; the remainder settles directly in the tradesperson’s connected account. We do not hold customer deposits, and we are not a bank or payment institution — Stripe is the payment processor, and your use of payments is also subject to Stripe’s terms.

AI-generated estimates

Quotes produced with TradePals’ AI are indicative estimates based on the information and media provided. They are not binding quotes and are not professional advice. The tradesperson is responsible for reviewing and setting the final price; customers should treat AI estimates as a starting point, not a contract.

Certificates

TradePals provides tools to help qualified tradespeople prepare and complete certificates (for example, electrical certificates to BS 7671). TradePals does not certify work and is not a competent person. The tradesperson is solely responsible for the accuracy, completeness, competence and legal validity of any certificate they issue.

Acceptable use

You agree not to misuse TradePals. In particular, you must not:

  • use it for any unlawful, fraudulent or infringing purpose;
  • upload content you don’t have the right to use;
  • attempt to break, overload, or reverse-engineer the service; or
  • use it to issue false certificates or invoices.

Customer data

If you input or upload another person’s data (for example, your customer’s contact details or photos of their property), you confirm that you have the right to do so and a lawful basis to share it with us for the processing described in our Privacy Policy.

Intellectual property

TradePals and its content, software, branding and designs are owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable licence to use the app for your business while these Terms apply. The documents you generate — your quotes, invoices and certificates — are yours.

Third-party services

TradePals relies on third parties (such as Apple, Stripe, Google and Supabase) and can integrate with services you choose to connect (such as FreeAgent, Xero or QuickBooks). Your use of those services is subject to their own terms, and we are not responsible for them.

Disclaimers

TradePals is provided “as is” and “as available”. To the extent permitted by law, we disclaim implied warranties and do not guarantee that the service will be uninterrupted or error-free, or that AI outputs will be accurate.

Limitation of liability

To the extent permitted by law, we are not liable for indirect or consequential loss, or for loss of profit, data or goodwill, or for losses arising from AI estimates, work carried out by a tradesperson, or third-party services. Our total liability to you in any 12-month period is limited to the greater of the fees you paid us in that period or £100. Nothing in these Terms limits liability that cannot be excluded by law (such as liability for death or personal injury caused by negligence, or for fraud). If you are a consumer, your statutory rights are not affected.

Indemnity

You agree to indemnify us against claims, losses and costs arising from your misuse of TradePals, your breach of these Terms, or the work you carry out for your customers.

Suspension & termination

You can stop using TradePals and delete your account at any time. We may suspend or end your access if you breach these Terms or where necessary to protect the service or other users.

Changes to these terms

We may update the service and these Terms as the product develops. We’ll post changes on this page with an updated date. Continued use of TradePals after changes are posted means you accept the updated Terms.

Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer, you may also benefit from mandatory protections under the law of the country where you live.
